What does your job look like?

As a PwC Entity Governance & Compliance team member, you work - often in close cooperation with foreign PwC offices - on a wide range of activities in the area of Dutch ​​corporate law. Examples of the work are:

  • Help streamline and manage governance and compliance risks and ensure good standing of legal entities of a portfolio of clients;
  • Advise on processes relating to annual compliance with Dutch corporate law and prepare and coordinate relevant documentation;
  • Advise on various aspects of Dutch corporate law, mostly related to corporate governance and directors’ duties and liabilities; 
  • Prepare and coordinate straight forward corporate restructurings (such as incorporations, liquidations, distributions, contributions and approvals of business matters) and corporate changes (for example amendment of articles of association, changes to (supervisory) board compositions, granting of powers of attorney);
  • Work with local and foreign PwC Legal teams and PwC teams from other lines of services (such as tax and advisory) to provide integrated solutions for our clients, as well as local and external lawyers, notaries, advisors and government institutions;
  • Coordinate shareholders' meetings, board meetings and / or supervisory board meetings of Dutch legal entities and prepare relevant documentation; and
  • Build a trusted advisor relationship with your clients and their local contacts.

Who are you?

You would like to develop yourself within an enthusiastic and growing team of legal professionals in a large, professional organization with a diversity of (international operating) clients and an overall English-speaking environment.

Furthermore, you meet the following criteria:

  • You have a Dutch Master of Laws degree, specializing in corporate law;
  • You have at least two years of relevant experience as a corporate lawyer within Dutch corporate law;
  • You are reliable, client focused, outgoing with a good sense of relationship management and you are commercially driven;
  • You have experience with managing projects and coordinating team members;
  • You have an excellent command of the Dutch and English language, verbally and in writing;
  • You prefer to work in an international environment;
  • You are driven to find innovative solutions to solve important problems our clients are facing as well as to optimise and digitise our way of delivering our services; and 
  • You describe yourself as a team player and a solution-driven and precise lawyer.

The growing Dutch Entity Governance & Compliance team is based in Amsterdam and Rotterdam and consists of experienced corporate lawyers and experienced entity governance professionals. The team works on a range of international (stock listed and mid-market) clients in close cooperation with the Entity Governance & Compliance teams of PwC UK, PwC Germany and other foreign PwC offices, alongside PwC Legal’s International Business Reorganisations team and PwC’s International Tax Services teams. The Entity Governance & Compliance team assists clients and their legal entities throughout their lifespan from incorporation to on-going compliance with local legislation and to dissolution and liquidation.
